Terms of Service

Please read these Terms of Service ("Terms") carefully before using Fornace Studio ("Service"), a generative AI media platform operated by Kvasir Media ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Eligibility and Account Registration

1.1 Age Requirement

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are 18 years of age or older. If we learn that a user is under 18, we will immediately terminate their account and delete associated data.

1.2 Age Verification

Certain features of the Service allow the generation of mature or adult-oriented content ("Adult Content"). Access to this content requires additional age verification. You represent and warrant that any information submitted for age verification is accurate and truthful. Misrepresentation of age is a material breach of these Terms.

1.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at dev@kvasir.media if you suspect unauthorized access to your account.

2. Description of Service

Fornace Studio is a subscription-based and credit-based platform providing access to AI-powered image generation tools. The Service allows users to generate, transform, and manage AI-generated media ("Generated Content") using text prompts and uploaded images ("User Content").

The features and capabilities of the Service may change from time to time. We will endeavor to provide reasonable advance notice of material changes, but reserve the right to modify, suspend, or discontinue any feature at any time.

3. Subscriptions, Credits, and Payments

3.1 Subscription Plans

The Service is offered under various subscription tiers, which may be modified from time to time. Details of current plans, including features and pricing, are available on our website. Subscription fees are billed in advance on a recurring basis (monthly or annually, as selected).

3.2 Credit Packs

In addition to or in lieu of a subscription, users may purchase credits ("Credits") that can be used to access generation features. Credits are non-refundable except as required by applicable law or as expressly stated in these Terms.

3.3 Credit Expiration

Credits purchased as part of a subscription plan expire at the end of the applicable billing period unless otherwise specified. Credits purchased as standalone credit packs do not expire unless your account is terminated.

3.4 Billing and Stripe

Payments are processed through Stripe, Inc. By providing payment information, you agree to Stripe's terms of service and authorize us to charge your selected payment method for all applicable fees. We do not store full payment card information on our servers.

3.5 Refunds

Subscription fees are generally non-refundable. We may, at our sole discretion, issue refunds or credits in cases of documented technical failures or billing errors. To request a refund, contact us at dev@kvasir.media within 14 days of the charge.

3.6 Taxes

You are responsible for all applicable taxes, levies, or duties imposed by taxing authorities in connection with your use of the Service. We will collect taxes where required by law.

4. User Content

4.1 Ownership of User Content

You represent that you have the rights necessary to upload any images, files, or other materials you submit to the Service ("User Content"), or that your use of such materials as inputs to the generative process constitutes fair use or an equivalent exception under applicable law. We do not claim ownership of your User Content, nor do we make any representations regarding your ownership of or rights in any User Content you upload.

4.2 Representations Regarding User Content

You represent and warrant that:

• you own or have all necessary rights to the User Content you upload;

• your User Content does not infringe the intellectual property rights, privacy rights, or other legal rights of any third party;

• your User Content does not contain child sexual abuse material (CSAM) or any depiction of minors in a sexual or exploitative context; and

• your User Content complies with all applicable laws and these Terms.

4.3 Content Moderation

We use automated moderation systems to review User Content prior to processing. We reserve the right to refuse, remove, or disable access to any User Content that we determine, in our sole discretion, violates these Terms or applicable law.

5. Generated Content

5.1 Ownership of Generated Content

Subject to your compliance with these Terms, you own the Generated Content you create using the Service, to the extent permitted by applicable law. You acknowledge that: (a) AI-generated outputs may not be protectable as original works under copyright law in all jurisdictions; (b) similar or identical outputs may be generated for other users; and (c) we do not make any representations regarding the copyright status of Generated Content.

5.2 Third-Party AI Providers and Training

The image generation capabilities of the Service are powered by third-party AI inference providers. We do not own, operate, or control the underlying AI models used to generate content, and we have no ability to influence, restrict, or direct how those third-party providers use data for model training or improvement purposes. Your use of the Service is subject to the terms and privacy policies of those third-party AI providers, which may include provisions relating to data use and model training. We encourage you to review those policies directly. We make no representations or warranties regarding the data practices of third-party AI providers.

5.3 Prohibited Generated Content

You may not use the Service to generate content that:

• depicts minors in a sexual or exploitative context under any circumstances;

• constitutes child sexual abuse material (CSAM);

• depicts real, identifiable individuals in a defamatory, non-consensual intimate, or otherwise unlawful manner;

• promotes or incites violence, terrorism, or hatred against any protected group;

• is intended to defraud, deceive, or harm others; or

• violates any applicable law or regulation.

Violation of this section is grounds for immediate account termination and may be reported to relevant law enforcement authorities.

6. Acceptable Use Policy

In addition to the restrictions set forth elsewhere in these Terms, you agree not to:

• use the Service for any unlawful purpose or in violation of any applicable laws;

• attempt to reverse engineer, decompile, or extract source code or model weights from the Service;

• use automated means (bots, scrapers, crawlers) to access the Service in a manner that exceeds normal usage or circumvents rate limits, except through our official API (if made available);

• share, sell, or transfer your account or Credits to another person;

• impersonate any person or entity or misrepresent your affiliation with any person or entity;

• transmit malicious code, viruses, or any software designed to damage or interfere with the Service;

• circumvent or attempt to circumvent any content filters, age verification systems, or access controls; or

• use the Service to generate content designed to train or fine-tune competing AI models without our express written consent.

7. Adult Content

Adult Content features are available only to verified adult users who have enabled this feature in their account settings and agreed to our Content Policy. By enabling Adult Content:

• you confirm you are 18 years of age or older;

• you acknowledge that you are voluntarily accessing adult-oriented material; and

• you agree to comply with all additional guidelines set forth in our Content Policy, which is incorporated into these Terms by reference.

We reserve the right to modify, restrict, or remove Adult Content features at any time, including in response to changes in applicable law or platform policy.

8. Intellectual Property

8.1 Company IP

The Service, including its original software, interface design, branding, and trademarks, is owned by Kvasir Media or its licensors and is protected by applicable intellectual property laws. These Terms do not grant you any rights in our intellectual property except as expressly stated herein.

The Service is built in part on open-source software and third-party technologies, each of which is governed by its own respective license. Nothing in these Terms limits or supersedes the rights granted under any applicable open-source license. Kvasir Media makes no claim of ownership over any open-source components, third-party libraries, or AI models used in connection with the Service.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant us an irrevocable, perpetual, royalty-free, worldwide license to use and incorporate such Feedback without any obligation or compensation to you.

9. Privacy

Your use of the Service is governed by our Privacy Policy, available at https://fornace.studio/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

10. Third-Party Services

The Service integrates with or relies upon third-party services, including AI inference providers, payment processors, and content delivery networks. Your use of such third-party services is subject to their respective terms and privacy policies. We are not responsible for the conduct of third-party providers.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY GENERATED CONTENT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KVASIR MEDIA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

13. Indemnification

You agree to indemnify, defend, and hold harmless Kvasir Media and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content or Generated Content; (c) your violation of these Terms; or (d) your violation of any rights of any third party.

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before filing any formal legal claim, you agree to attempt to resolve disputes informally by contacting us at dev@kvasir.media. We will try to resolve disputes within 30 days of receiving notice.

14.3 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in Delaware, or at a mutually agreed location or via videoconference.

14.4 Class Action Waiver

YOU AND WE AGREE THAT EACH MAY ONLY BRING CLAIMS AGAINST THE OTHER IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

14.5 Exceptions

Nothing in this section limits either party's right to seek injunctive or other equitable relief in a court of competent jurisdiction for matters involving intellectual property or data privacy.

15. Termination

We may suspend or terminate your account at any time, with or without cause, and with or without notice. Upon termination: (a) your right to use the Service immediately ceases; (b) unused Credits may be forfeited except as required by law; and (c) provisions of these Terms that by their nature should survive termination shall survive.

16. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy and Content Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

17.2 Severability

If any provision of these Terms is found invalid or unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force.

17.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

17.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, or failures of third-party infrastructure.
